Supply Chain Statement

The California Transparency in Supply Chains Act of 2010 (SB657) ("Act") effective in the State of California on January 1, 2012 seeks the elimination of slavery and human trafficking from product supply chains and requires that companies disclose their efforts to ensure that their supply chains are free from slavery and human trafficking.

Standard Process Inc. (SP) is committed to ensuring that our supply chain reflects SP's values and respect for human rights and the environment. SP's relationships with suppliers are based on lawful, efficient and fair practices. We expect our suppliers to obey the laws and regulations, in their jurisdictions, that require them to treat workers fairly, provide a safe and healthy work environment and protect environmental quality.

SP shall work to implement purchasing agreements or purchase order terms and conditions with our direct suppliers requiring them to comply with the laws regarding slavery and human trafficking of the country or countries in which they are doing business and to certify and verify that they are not engaging in illegal activities. These verifications will be reviewed by trained SP personnel, not by a third party.

SP periodically audits its suppliers. Typically these on-site audits are announced and conducted by SP personnel trained in auditing techniques to recognize and report non-compliance with our expectations. Occasionally, a third-party may be used. Noted deficiencies are addressed with the supplier, with SP reserving the right to alter or terminate the business relationship.

SP will train applicable employees and management to be aware of and adhere to SP's commitment to maintain an ethical supply chain particularly with respect to mitigating risks regarding human trafficking and slavery within the supply chain of products. Violations of such are subject to disciplinary action up to and including termination of employment.
